These terms and conditions constitute a legally binding agreement (The “Agreement “) between you and Takseem.

Your use of the Takseem application, website, facilities, and technological platform (collectively, the “Takseem Platform”) is governed by this Agreement.

1) CONTRACTUAL AGREEMENT :

BEFORE USING OR ACCESSING TAKSEEM, PLEASE READ THIS AGREEMENT CAREFULLY. YOU MAY NOT USE OR ACCESS THE TAKSEEM PLATFORM IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

By entering into this Agreement, and/or by using or accessing the Takseem Platform, you explicitly acknowledge that you understand this Agreement and accept all its terms.

You agree to be bound by this Agreement, which creates a legal contract between you and Takseem, by accessing and using the Takseem platform. The Takseem platform or any component of it may be discontinued at any time for any reason without prior notice, and Takseem may do so immediately with respect to you as well as generally stop providing it or restrict access to it. Certain Services (as defined below) may be subject to supplemental terms, such as rules for a specific event, loyalty program, activity, or campaign. These supplemental terms will be made known to you in connection with the relevant Services. Supplemental terms are in addition to this Agreement and shall be regarded as a part of it. Additional terms will take precedence over this Agreement in the event of any conflict.

2) MODIFICATIONS :

Takseem maintains the right to change the terms and conditions of this Agreement, and such changes will not become enforceable against you unless you agree to them. Takseem maintains the right to alter any details of this Agreement at any time, and such changes shall take effect immediately upon publication. If any such changes are made, your continued use of the Takseem Platform constitutes your acceptance of those changes.

3) USER ACCOUNTS :

The Takseem Platform may only be used by those who are completely capable to satisfy the terms, conditions, and duties hereunder and who have the right and permission to engage into this Agreement. Users who have had their user accounts temporarily or permanently disabled are not permitted to use the Takseem Platform. Except as otherwise expressly permitted by Takseem, you must not let anyone else access your user account, agree that you are the only authorized user of your user account, and may not use your user account on behalf of any third party. Each User must register for a user account to utilize the Takseem Platform.

To open an account, you must be at least 18 years old. You must provide Takseem with certain personal information to register for an account, including your name, address, mobile phone number, gender, and age. You commit to keeping the information in your Account current, correct and comprehensive.

Your acceptance constitutes your understanding in allowing Takseem the ability to access and use your personal information for the purpose of providing the accessibility to use the Takseem Platform for its users. Your personal information may be shared with other users of the Takseem Platform or third party companies that provide services to Takseem. Your failure to maintain accurate, complete, and up-to-date Account information may result in termination of this agreement with you and may also result in deduction or charge back of monies owed to you by ant rider.

You agree to always maintain the security and secrecy of your Account username and password. You acknowledge and agree that even if the device you use to access the Takseem Platform is lost, damaged, or stolen, you are still liable for any activity that takes place under your Account.

3.1) CAR OWNER AND CO TRAVELLER OBLIGATIONS :

– CAR OWNER AGREES TO THE FOLLOWING TERMS :

That the trip will not be used for any illegal, fraudulent, or criminal activities.

That they will arrive in the designated vehicle on time and at the agreed-upon location.

Any changes to the trip will be immediately communicated to all fellow travelers. If one or more Co-Travelers have made reservations and the Car Owner decides to alter any feature of the Trip, the Car Owner is obligated to get the consent of all Co-Travelers who have made reservations for that Trip by contacting them. If for any reason the Co-Travelers do not agree, they are entitled to receive a full refund.

The Good Conduct Charter must always be followed by the Car Owner.

The Car Owner must stay at the pickup location for at least 5 minutes after the scheduled time (the Co-Traveler is expected to arrive on time 1 ).

If the Car Owner must cancel a trip the co-travelers must be informed 24 hours prior to cancellation or no-show

In the case of a no-show or cancellation less than 24 hours the Car Owner is liable to pay the Co-Traveller for the day of travel equal to the cost estimated by Takseem Platform for that route to enable alternate mode of transport

CO-TRAVELER AGREES TO THE FOLLOWING TERMS :

That the trip won’t be used for any illegal, fraudulent, or criminal activities.

That they will show up on time and where previously agreed upon with the car owner.

That if they must cancel a Trip, they will notify the Car Owner right away.

That they will always abide by the Good Conduct Charter.

The Co-Traveler agrees to remain at the pickup location for the Car Owner’s arrival for a minimum of 10 minutes beyond the scheduled arrival time.

That they will provide the car owner their cost contribution through only the means of transaction offered by the Takseem Platform

If there is a no-show or cancellation less than 24 hours prior to the time of travel the Co-traveller/s will be charged the estimated cost as provided by the Takseem Platform for that day

If the Co-Traveler or Car Owner fail to comply with any of these terms or any other Conditions, TAKSEEM reserves the right to keep information relating to the breach, to publish or disclose this information on the User’s online profile and to suspend or withdraw the User’s access to the Site.

Takseem Platform has the right to share your information with any regulatory, government authority and the employer including any security services as may be deemed necessary

3.2) CONTACT BETWEEN CAR OWNER AND CO TRAVELER THROUGH TAKSEEM PLATFORM :

Takseem has the ability to examine, scan, and moderate the messages shared among its users on the platform. This is done to prevent fraud, provide customer support, enforce the contractual agreements made with Takseem’s users (such as the Terms and Conditions), and ensure compliance with relevant laws.

By using the Takseem Platform, all users agree to the term which allows Takseem (in complete discretion) to examine, scan and moderate messages shared about its users on the platform.

By using the messaging feature on the application, users undertake the responsibility to not write nor send any messages which are prohibited by the applicable law, specifically users undertake the responsibility to refrain from writing/sending messages which:

• Share or communicate any information which belongs to someone else.

• Sharing information, which is harmful, blasphemous, defamatory, obscene, or pornographic.

• Impersonate another person.

• Violates any law.

• Share any software viruses that could disrupt the functionality of devices.

• Deceive or mislead the recipient of the messages, or to communicate any information that is highly offensive or menacing in nature.

• Lastly, users agree to use the messaging feature on the application for its intended use of ride sharing and not to use the application for personal and confidential communications.

Takseem reserves the right to filter and delete any messages that do not adhere to the terms mentioned above. Agreeing to these terms gives Takseem the authority to suspend User accounts in the case of violating the terms and or not abiding by the applicable law.

3.3) CONTACTING USERS :

Upon acceptance of the terms and conditions stated above, each User acknowledges and gives consent to Takseem for engaging in communication via channels such as phone calls, SMS, emails, and other suitable means as determined by Takseem. These communications with Users may be recorded using technical support offered by third-party providers, serving the purposes of training, maintaining quality standards, and regularly updating Users about the services provided by Takseem.

4) LIABILITY :

• Users are encouraged to proceed with the Services offered on the Site at their own risk and to exercise their best judgment when engaging in any arrangements with other Users. Takseem will not be held accountable for the actions or lack of action taken by Users, nor for any violations of terms, representations, or warranties made by Users. Takseem explicitly denies any responsibility or liability that may arise from the utilization of the Site.

• Takseem will not participate as a contractual party in any agreement between a Car Owner and Co-Traveler, and Takseem will not be held responsible or accountable to either the Car Owner or the Co-Traveler. Takseem only acts in the capacity of a ride matching service provider, enables the sharing of cost using third-party providers

• When it comes to Trips, including the information shared by Users and the content available on the Takseem Site (such as Trip details and Cost Contributions), Takseem clearly states that it does not provide any warranties or guarantees, whether expressed or implied, regarding the accuracy, reliability, or completeness of such information. While Takseem takes measures to ensure the accuracy of the Site’s content, all information and content are provided “as is” and “where is” without any form of warranty. Takseem does not endorse or support any User using the Services on the Site, either implicitly or explicitly.

• Takseem will not be held responsible for any loss or damage which may arise as a result of fraudulent misrepresentation or misleading information by a user OR any Breach of duty or terms stated above that take place before, during or after the ride.

• Takseem will not be held responsible for any loss or damage which may arise as a result of any cancellation which takes place between the Car Owner and Co Traveler OR Any failure to make payment of the cost contribution between the Car Owner and Co Traveler.

• Takseem will not be held liable to any User for any business, financial, or economic losses, or for any consequential or indirect losses such as damage to reputation, missed opportunities, loss of profits, loss of anticipated savings, or similar losses arising from the services provided by Takseem. This limitation of liability applies regardless of whether such losses are suffered or incurred as a result of Takseem’s negligence or any other cause.

5) INSURANCE :

The Takseem Platform requires the Car owner and Co rider to agree upon the insurance at their own convenience, Takseem will not be a part of the Insurance agreement between the two parties. (TAKSEEM ENCOURAGES THE CAR OWNER TO HAVE INSURANCE ON THE VEHICLE AS WELL AS COMMUNICATE IT TO THE CO RIDER)

6) Takseem measures the GHG footprint based on its proprietary model and as such is not liable to disclose the model and its workings to any subscriber, user, employer or government agency. From Time to Time Takseem will update its models and is not required to provide the information or explanation of the model. All fees if any earned directly from the Car Owner or/and Co Traveler will be disclosed. Takseem will provide the GHG incurred and saved by each user to the users on the platform and to the employer for the purpose of regulatory reporting, marketing or use in any review or for any other purpose the users or the employer may deem fit

7) Takseem uses third party service providers and shares personal identifiable information with third party service providers who may only use the information for the purpose of storing or facilitating the use of the Takseem Platform and not for any other purpose.

8) Takseem does not take responsibility for breach of data or any personal information that may result in the loss of information or a monetary loss to the users on the Takseem Platform.
